Terms of Service
In plain language. NxJumps is a research and education tool, not a broker or an investment adviser. We don’t hold your money, place trades, or tell you what to buy or sell. Everything we show you is information to help you do your own research, and your decisions are your own. By using the Service you agree to use it responsibly, and our liability to you is limited. This summary is for convenience only and is not part of the agreement; the full Terms below govern.
These Terms of Service (“Terms”) govern your access to and use of NxJumps.com, the NxJumps applications, research and analytics tools, and notifications (together, the “Service”), all provided by NxJumps AI Inc., a corporation incorporated under the Business Corporations Act (British Columbia) (“NxJumps,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You may use the Service only if you can form a binding contract with us and your use is permitted under the laws that apply to you. The Service is currently offered to residents of Canada. If you access the Service from outside Canada, you are responsible for compliance with your local laws, and certain features may be unavailable to you.
If you use the Service on behalf of a company, fund, advisory business, or other organization, you represent that you are authorized to bind that organization to these Terms.
2. What the Service Is
NxJumps is a personalized market intelligence platform that provides investment information, research, data, analytics, and educational tools for retail investors. The Service may provide market data, news aggregation and sentiment, public filings, charts, watchlists, seasonality and historical data, AI-generated summaries and analysis (including through NxJay, our AI research assistant), and research tools that may take your stated preferences or holdings into account to organize and contextualize information.
The Service does not provide, and is not intended to provide, any of the following:
- brokerage, custody, clearing, settlement, or money-transmission services;
- trade execution, order routing, or discretionary management of any account or assets;
- personalized investment advice, portfolio management, or financial planning; or
- tax, legal, accounting, or other professional advice.
3. No Investment Advice, Recommendation, or Solicitation
NxJumps is not registered as an adviser (portfolio manager), investment dealer, mutual fund dealer, exempt market dealer, or investment fund manager under the Securities Act (British Columbia) or the securities legislation of any other Canadian jurisdiction, and is not a member of the Canadian Investment Regulatory Organization (CIRO) or of any investor protection fund. We do not hold or have access to your money or securities, so no investor protection fund coverage applies to your use of the Service.
Nothing on the Service constitutes investment advice, a recommendation to buy, sell, hold, or take any other action with respect to any security, or an offer or solicitation to buy or sell any security or to adopt any investment strategy. All content is general in nature and is not tailored to your financial situation, objectives, risk tolerance, or needs.
Even where the Service uses information you provide, including stated preferences, watchlists, or prompts, to organize, filter, or contextualize research, that functionality does not make NxJumps your investment adviser, create a fiduciary or advisory relationship, or mean we are acting in your interest or assessing the suitability of any security for you.
You are solely responsible for evaluating the information you obtain through the Service and for all investment, trading, and tax decisions you make. If you act on any research, screen, ranking, alert, score, summary, or AI output available through the Service, you do so entirely at your own risk.
Any labels, scores, rankings, ideas, model outputs, or action-oriented words that may appear in the Service (including terms such as buy, sell, hold, add, reduce, trim, hedge, rotate, or rebalance) are informational only and are not recommendations, unless expressly identified as part of a separate registered service offered under separate terms and disclosures.
4. No Advisory, Brokerage, or Fiduciary Relationship
Your use of the Service does not create any investment-advisory, brokerage, agency, partnership, trust, or fiduciary relationship between you and NxJumps or any of its affiliates, directors, officers, employees, contractors, or service providers.
We do not accept discretionary authority over your assets, cannot place trades for you, and do not undertake to monitor your accounts or the markets on an ongoing basis for any advisory purpose.
5. Future Registered Services
If NxJumps ever offers a service that involves trade execution, order routing, discretionary management, personalized investment advice, or any other activity requiring registration or licensing under Canadian securities legislation, that service will be offered only under separate terms, disclosures, and account documentation and, where required, through an appropriately registered entity, affiliate, or third-party provider. Until then, you should assume those services are not part of the Service.
6. AI and Automated Outputs
The Service’s AI features, including our AI research assistant NxJay, use software models and artificial-intelligence systems to generate summaries, answers, rankings, and other outputs. AI and automated systems can be wrong, incomplete, outdated, biased, or misleading, and may produce plausible-sounding but inaccurate statements. AI outputs are provided for informational and educational purposes only and are not guaranteed to be accurate, complete, current, or suitable for your circumstances.
Automated outputs do not know your full financial circumstances, risk tolerance, liquidity needs, time horizon, tax situation, or legal obligations, and are not a substitute for a registered or licensed financial, legal, or tax professional. You must independently verify any information before relying on it.
7. Alerts, Notifications, and Monitoring Limits
The Service may provide watchlist, price, event, news, digest, portfolio, and similar alerts and notifications based on criteria you set or that we make available. These are informational only. They are not recommendations, trade instructions, or a promise that any security should be bought, sold, or monitored in a particular way.
Alerting depends on third-party data, connectivity, device settings, permissions, and network availability, and may be delayed, incomplete, misfired, duplicated, or undelivered. Even where alerts appear to monitor a security or portfolio continuously, we undertake no advisory monitoring, supervisory, or real-time duty. You remain solely responsible for monitoring your own holdings, orders, and risk.
8. Market Data and Third-Party Content
The Service relies on third-party data feeds, public filings, market-data vendors, AI providers, and other external sources. Data may be delayed, incomplete, inconsistent, unavailable, or incorrect, and public filings may themselves contain errors or be filed after the relevant event. You should confirm information against official brokerage statements, exchange feeds, and issuer filings before acting on it.
References to public figures, funds, insiders, community behaviour, models, or rankings are informational only and are not endorsements, suitability determinations, or promises that any outcome will recur.
9. Accounts, Security, and Acceptable Use
You are responsible for your account credentials, devices, and all activity under your account, and agree to provide accurate information and to notify us promptly at support@nxjumps.com if you suspect unauthorized access.
You may not: use the Service in violation of law; scrape, resell, republish, or redistribute protected content or data without permission; interfere with the security or operation of the Service; use the Service to provide registered or regulated advice or services to third parties without proper authority; misrepresent Service output as guaranteed, official, or personalized professional advice; use automated means that burden our systems or bypass access controls; or reverse engineer or extract source code except as permitted by law.
We may set product, usage, query, API, or feature limits at our discretion for security, operational, product, or commercial reasons.
10. User Inputs and Feedback
You retain ownership of prompts, messages, and other content you submit, to the extent you have the right to do so. You grant NxJumps a non-exclusive, worldwide, royalty-free licence to host, reproduce, process, adapt, transmit, and display that content as needed to operate, secure, improve, and support the Service. If you provide feedback or suggestions, we may use them without restriction or compensation.
11. Intellectual Property
The Service, including our software, brand, interfaces, design, text, compiled datasets, and protected outputs, is owned by NxJumps AI Inc. or its licensors. Except for the limited rights needed to use the Service under these Terms, no rights are granted to you.
12. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, or results. We do not warrant that the Service will be uninterrupted, secure, error-free, or suitable for trading, investing, compliance, tax, or legal purposes.
13. Limitation of Liability
To the maximum extent permitted by law, NxJumps and its affiliates, directors, officers, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business or trading opportunity, or investment value, arising out of or relating to your use of the Service, including losses arising from investment or trading decisions, inaccurate or delayed data, AI output, undelivered or delayed alerts, service interruptions, account compromise, third-party provider failures, or public-data inaccuracies.
To the extent permitted by law, our aggregate liability for all claims relating to the Service will not exceed CAD $100. Nothing in these Terms limits liability that cannot be limited under applicable law.
14. Indemnification
You agree to defend, indemnify, and hold harmless NxJumps and its affiliates, directors, officers, employees, contractors, licensors, and service providers from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, your violation of these Terms, or your violation of law or third-party rights.
15. Suspension, Termination, and Changes
We may modify, suspend, or discontinue any part of the Service at any time, and may suspend or terminate your access if we reasonably believe you have violated these Terms or created legal, security, or operational risk. We may update these Terms from time to time; updated Terms take effect when posted unless a later date is stated. Provisions that by their nature should survive termination will survive.
16. Governing Law and Venue
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict-of-laws rules. Subject to any non-waivable rights you have under applicable consumer law, you and NxJumps submit to the exclusive jurisdiction of the courts of British Columbia.
17. General
These Terms are the entire agreement between you and us regarding the Service, except for additional terms that expressly apply to specific features or purchases. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction.
